I, as a volunteer of Girls on the Run, agree to the following:

Volunteer/Board Confidentiality Agreement In exchange for the consideration provided by Girls on the Run (“GOTR”) detailed below, I agree to the restrictions in this Confidentiality Agreement (the “Agreement”). 1. Consideration. I am about to begin or continue my engagement with GOTR as a volunteer or board member. In exchange for me entering into this Agreement, I recognize that I will receive valuable consideration, including, without limitation, complimentary attendance at GOTR events, and access to GOTR proprietary or Confidential Information (as defined below). I would not be eligible for such consideration without signing this Agreement, and I agree that this Agreement is supported by good and valuable consideration. 2. Confidential Information. Except as permitted by this Agreement or to the extent the use or disclosure of any Confidential Information is required to carry out my assigned duties with GOTR, I agree not to copy, reproduce, use, or disclose, or use to advance the financial or other private interests of myself or others any GOTR Confidential Information (as defined below), at any time during my employment or engagement with GOTR or thereafter. “Confidential Information” includes, but is not limited to: (i) any confidential, proprietary, or other information regarding GOTR that is obtained or created by me during my employment or engagement with GOTR that is not publicly available; (ii) information marked or designated by GOTR as confidential; (iii) confidential information, whether or not in written form and whether or not designated as confidential, which is known to me as being treated as confidential by GOTR; (iv) information provided by third parties, including but not limited to information provided by participants and/or participants’ guardians; (v) Girls on the Run® or Heart & Sole® program content or any other materials that GOTR provides (the “Materials”); and (vi) financial documents, process and procedure information, trade secrets concerning the business and affairs of GOTR, programming materials, data, techniques, correspondence, market studies, marketing and business plans, computer software and programs, technology systems and any other information written or oral, or in whatever media contained, however documented or disseminated. I agree to exercise the highest degree of care in safeguarding Confidential Information against loss, theft, or other inadvertent disclosure, and agree generally to take all steps necessary to ensure the maintenance of confidentiality. I further agree I will not copy, remove from the premises of GOTR, or retain without prior written consent any written, electronic or other tangible material containing Confidential Information, except in the ordinary course of business and as may be reasonably required in the course of my employment or engagement with GOTR. 3. Protected Rights. a. For the avoidance of doubt, the terms in Section 2 above: (i) do not limit my right to file a charge with, to participate in a proceeding by, or to communicate with a government agency or a court; (ii) do not prohibit me from disclosing information that I am permitted to disclose under an applicable state workplace transparency statute, if any; and (iii) do not apply to a disclosure required by applicable law, a valid subpoena, or a court order or to truthful testimony under oath. b. GOTR respects an employee’s right to communicate, on his or her own behalf or on behalf of other employees, concerning terms and conditions of employment. Nothing in this Agreement is intended to interfere with rights under federal and state laws, including the National Labor Relations Act, nor will GOTR construe this Agreement in a way that limits such rights. c. Notwithstanding the nondisclosure and confidentiality obligations set forth in this Agreement, I understand I will not be held criminally or civilly liable under any Federal or State trade secrets laws for the disclosure of a trade secret that (1) is made (i) in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney and (ii) solely for the purpose of reporting or investigating a suspected violation of law or (2) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. I also understand that if I file a lawsuit for retaliation by GOTR for reporting a suspected violation of law, I may disclose GOTR’s trade secrets to my attorney and use the trade secret information in the court proceeding if I: (1) file any document containing the trade secret under seal; and (2) do not disclose the trade secret, except pursuant to court order. 4. Returning Materials. At the end of every program season and upon the termination of my engagement, for whatever reason, I will promptly deliver to GOTR all tangible property, documents, information, data, and other property, including Confidential Information, in my possession, custody, or control that belong to GOTR, and/or that contain, in whole or in part, any information pertaining to GOTR programming and Materials, regardless of how stored or maintained and including all originals and copies. 5. Logo & Trademarks. I agree and acknowledge that the trademarks and brands of GOTR are valuable assets. I will abide by the trademark and logo usage guidelines to protect the trademarks and brands and will obtain approval from GOTR if I am unsure whether a proposed use violates the guidelines. 6. Reasonableness. I agree that the restrictions in this Agreement are fair, reasonable, and necessary to protect GOTR’s confidential information, trade secrets, goodwill, and legitimate business interests, and will not prevent me from earning a living. I also agree that this Agreement is supported by good and valid consideration. As such, I agree not to contest the general validity of this Agreement in any forum. If I breach this Agreement, then GOTR will be entitled to injunctive relief and the damages caused by my breach. 7. Law and Venue. This Agreement shall be governed by North Carolina law, without regard to any conflict-of-law rules. Any litigation related to this Agreement shall be filed and occur exclusively in the state or federal courts in North Carolina, and in no other venue. I irrevocably consent to the jurisdiction of and venue in such courts for such disputes. I agree that this Section is a material and reasonable part of this Agreement, that GOTR’s headquarters are in North Carolina, and that I will not contest the enforceability of the provisions in this Section in any forum. 8. Miscellaneous. This Agreement constitutes the entire agreement related to the subject matter contained herein, and it supersedes all previous agreements related to such subject matter. Each provision herein is severable from each other provision. If a court determines that any provision of this Agreement is invalid, then I request that the court modify it in order to render it not invalid and enforce the provision as modified. No amendment or waiver of any of the provisions of this Agreement shall be binding unless reduced to writing. GOTR shall have the right to transfer or assign this Agreement to any affiliate or successor to all or part of its business, and I irrevocably consent to any such transfer or assignment. In the event of such transfer or assignment, the “GOTR” shall mean the entity to which this Agreement is so transferred or assigned. 9. Survival. The obligations set forth in this agreement shall survive the termination of my employment or engagement with GOTR, regardless of the reasons or method of termination. GIRLS ON THE RUN 5K EVENT WAIVER I hereby agree to participate in the Girls on the Run® 5k Event as a volunteer/runner/spectator. Physical reactions to exercise may include heat-related illness, abnormal heartbeats, and blood pressure and, in rare instances, events such as heart attacks. While Girls on the Run takes all reasonable precautions, we can make no guarantees regarding these and other risks such as contracting known and unknown viruses. Recognizing the risks of the 5k event, and in consideration for allowing participation in the 5k event, I hereby release, discharge and agree to hold harmless, and to indemnify each of the Girls on the Run council conducting the Girls on the Run program and Girls on the Run International, their owners, directors, affiliates, officers, contributors, sponsors, employees, contractors, agents and assigns against and from any and all causes of action, claims, demands, damages, costs, loss of services, expenses, compensation, all consequential damages and attorneys’ fees (regardless whether pursuant to the laws of any county, state or country) claimed by, through or on behalf of me related directly or indirectly to the 5k event, and specifically including any and all claims for personal injuries sustained while participating in the 5k event without regard to negligence or negligent conditions. In addition, I hereby authorize Girls on the Run, if after a reasonable attempt has been made to reach a parent, guardian or emergency contact to obtain consent, or if sound medical practice decrees that there is not time to make such an attempt, to consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment, and hospital care, to be rendered to me under the general or special supervision and on the advice of any physician or surgeon who may treat me, and consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment and hospital care, to be rendered to me by any health care professional who may treat me. I agree to pay for any such treatment and to reimburse Girls on the Run for all costs and expenses it may incur related to such treatment. I hereby grant Girls on the Run®, its National Title Sponsors, its National Sponsors, and all assigns, licensees, successors in interest, legal representatives, employees, consultants, and those acting with permission or authority of the aforementioned parties, the absolute, irrevocable and unrestricted right to use photographs, videos likenesses and audio recordings (including without limitation all originals, negatives, prints and transparencies or any duplicates or reproductions of the foregoing) that have been or will be taken of me (collectively, “Images”), in which I may be included with others, to copyright the same, in the name of Girls on the Run or otherwise; to use, re-use, publish and republish the same in whole or in part, individually or in conjunction with other photographs and videos, and in conjunction with any printed matter, in any and all media now and hereafter known, and for any purpose whatsoever; and to use my name in connection herewith. I hereby release and agree to hold harmless Girls on the Run and all aforementioned entities, from any damages or liability relating to or arising from any use of or modification, alteration, distortion or other change to any of the Images and/or information gathered, unless it can be proven that such reproduction were maliciously caused, produced and published for the sole purpose of subjecting me to conspicuous ridicule, scandal, reproach, scorn and indignity. I hereby waive any claims I may have based on any usage of the Images, information gathered, or works derived thereof, including but not limited to claims for either invasion of privacy or libel. From time to time, Girls on the Run sponsors may provide products or offer services to participants. I understand that I may receive products or service offerings from sponsors of Girls on the Run, and consent to their provision and my receipt thereof. I expressly agree that this consent is intended to be as broad and inclusive a release of liability as permitted by applicable law and that if any provision thereof is held invalid, it is agreed that the remaining provisions shall, notwithstanding, continue in full legal force and effect. I hereby warrant and represent that I am 18 years old or older; I have carefully read this consent and agree to its terms and conditions, that before signing this agreement I had the chance to ask questions; and I am aware that by signing this consent, I assume all risks and waive and release certain substantial rights that I may have or possess against Girls on the Run council conducting the Girls on the Run program and Girls on the Run International. To the extent permitted by applicable law, I hereby irrevocably and unconditionally waive trial by jury in any legal action or proceeding related to this agreement. COACH WAIVER I, as a volunteer of Girls on the Run, agree to the following: 1) I will not deliver the Girls on the Run International program unless I am working as an employee or volunteer of a Girls on the Run Council. 2) I will not create or help develop a program that has similar goals and structure to that of Girls on the Run International within a two-year period of my involvement with Girls on the Run. 3) I understand that all printed materials given to me are under copyright law and may not be reproduced in any way unless written permission is received. 4) I understand that curriculum books given to me for the purpose of coaching Girls on the Run do not belong to me and must be returned at the end of the season. 5) I will abide by the logo usage guidelines and obtain approval from Girls on the Run International staff if I am unsure of its use. Program Consent, Release, and 5k Waiver: I am a volunteer with Girls on the Run. I understand that during the program, I will be involved in outdoor physical activities. Physical reactions to exercise may include heat-related illness, abnormal heartbeats, and blood pressure and, in rare instances, events such as heart attacks. While GOTR takes all reasonable safety precautions, we can make no guarantees regarding these and other risks such as contracting known and unknown viruses. Recognizing the risks of the program, I hereby release, discharge and agree to hold harmless, and to indemnify each of Girls on the Run and Girls on the Run International, their owners, directors, officers, contributors, sponsors, employees, contractors, agents and assigns against and from any causes of action, claims, demands, damages, costs, loss of services, expenses, compensation, all consequential damages and attorneys' fees (regardless whether pursuant to the laws of any county, state or country) claimed by, through or on behalf of me related directly or indirectly to the program (including contracting known and unknown viruses), and specifically including any and all claims for personal injuries sustained while participating in program activities without regard to negligence or negligent conditions. In addition, I hereby authorize Girls on the Run, if after a reasonable attempt has been made to reach an emergency contact to obtain consent, or if sound medical practice decrees that there is not time to make such an attempt, to consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment, and hospital care, to be rendered to me under the general or special supervision and on the advice of any physician or surgeon who may treat me, and consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment and hospital care, to be rendered to the Participant by any health care professional who may treat me. I agree to pay for any such treatment and to reimburse Girls on the Run for all costs and expenses it may incur related to such treatment. Photo Release: I hereby grant to GOTR the absolute and irrevocable right and permission, in respect of the photographs/videos that have been or will be taken of me or that I submit to GOTR or in which I may have been included with others, to copyright the same, in the name of Girls on the Run or otherwise; to use, re-use, publish, and republish the same in whole or in part, individually or in conjunction with other photographs and videos, and in conjunction with any printed matter, in any and all media now or hereafter known, and for any purpose whatsoever; and to use my name in connection therewith. I hereby release and discharge GOTR from any and all claims and demands arising out of or in connection with the use of the photographs and videos, including without limitation any and all claims for libel or invasion of privacy. Authorization: I expressly agree that this consent is intended to be as broad and inclusive a release of liability as permitted by applicable law and that if any portion thereof is held invalid, it is agreed that the balance shall, not withstanding, continue in full legal force and effect. I hereby represent and warrant that I am 18 years of age or older or, if applicable, that I am the parent or legal guardian of the child under the age of 18 years old who I am registering to volunteer/participate/spectate for the 5k event and that I have the full power and authority to agree to these terms on behalf of such child, and to bind him/her to these terms. I have carefully read this consent and agree to its terms and conditions, that before signing this agreement I had the chance to ask questions; and I am aware that by signing this consent, I assume all risks and waive and release certain substantial rights that I may have or possess against Girls on the Run. To the extent permitted by applicable law, I hereby irrevocably and unconditionally waive trial by jury in any legal action or proceeding related to this agreement. I have fully read the above permissions, policies, and releases. I understand them and I expressly agree to them. I hereby certify that there are no contraindications to my participation in the Girls on the Run program. This permission and release are binding on me and my executor, administrators, and heirs.
