Volunteer Agreement

1. Volunteering: Girls on the Run inspires girls to be joyful, healthy and confident using a fun, experience-based curriculum which creatively integrates running. Volunteering for Girls on the Run is the most rewarding way to get involved with our program. Volunteer positions provide hands-on experiences with the Girls on the Run mission, and the sense of accomplishment that comes from making a difference in the lives of girls. All volunteers are required to comply with the Policies set forth below.

2. Background Check: Background checks are required for some of our volunteer positions. Prior to their Girls on the Run service, all prospective Coaches, Board Directors, and 5K Road Runners (volunteer community runners who are assigned by a GOTR NOVA representative to run with a specific girl in the 5K) must consent to a background check at GOTR NOVA’s expense, by executing a Background Check Authorization and Release. BACKGROUND CHECK AUTHORIZATION AND RELEASE In connection with my application to volunteer with Girls on the Run of NOVA (“GOTR NOVA”), I authorize Unique Background Solutions, Inc. or its agents (collectively, “Unique Background Solutions”) to procure a consumer report and/or investigative consumer report about my criminal record history. I HEREBY AUTHORIZE THE GOTR NOVA, AND/OR ITS AGENTS AND EMPLOYEES TO OBTAIN “CONSUMER REPORTS” AND “INVESTIGATIVE CONSUMER REPORTS” FROM UNIQUE BACKGROUND SOLUTIONS AND TO CONSIDER SUCH REPORTS WHEN MAKING DECISIONS REGARDING MY VOLUNTEER APPLICATION AND STATUS. I FURTHER UNDERSTAND THAT FOR THE DURATION OF MY STATUS AS A VOLUNTEER WITH GOTR NOVA, IT MAY NEED TO UPDATE SUCH INFORMATION OR OBTAIN ADDITIONAL REPORTS AND I HEREBY AUTHORIZE SUCH ACTS. I FURTHER AUTHORIZE ANY PERSON, COMPANY, FORMER EMPLOYER, CREDIT AGENCY, EDUCATIONAL INSTITUTION, LAW ENFORCEMENT AGENCY, BRANCH OF THE FEDERAL, STATE, OR LOCAL GOVERNMENT, AND ANY OTHER ENTITY AND PERSON CONTACTED BY THE COMPANY OR A “CONSUMER REPORTING AGENCY” AT THE REQUEST OF THE COMPANY TO FURNISH THE ABOVE INFORMATION. I further authorize that a photocopy of this authorization may be considered as an original. Additionally, I give GOTR NOVA permission to investigate any incidents of misconduct, including but not limited to child abuse, assault, child neglect, or sexual misconduct, of which I have been accused, and for which I am alleged to have been involved in as a volunteer of GOTR NOVA. In the event GOTR NOVA procures an investigative consumer report, I understand that I will be notified that it is doing so and will be informed that I have the right to make a written request for a description of the nature and substance of the investigation requested and for a written summary of my rights under the Fair Credit Reporting Act. I understand that before GOTR NOVA takes any adverse action against me because of information provided to it by Unique Background Solutions, I am entitled to receive a copy of the consumer report and a written summary of my rights under the Fair Credit Reporting Act, and I understand that GOTR NOVA will provide me certain information related to Unique Background Solutions enabling me to request additional information and allowing me to contact the agency to attempt to correct any alleged errors in the report. I hereby fully release and discharge GOTR NOVA, Unique Background Solutions, their respective corporate affiliates, and their respective directors, officers, employees, agents, and attorneys, and any other individual, organization, entity, agency, or other source providing information to GOTR NOVA and/or Unique Background Solutions from all liability, claims and damages arising out of or relating to any investigation of my background for volunteer purposes.

3. Volunteer Release and Waiver: Volunteer Agreement All volunteers must execute a Release and Waiver of Liability. This is a Release and Waiver of Liability (the “Release”), executed on the date of registration by the “Volunteer”, in favor of Girls on the Run of Northern Virginia, a nonprofit corporation, its directors, officers, employee, and agents (collectively known as the “GOTR NOVA”). The Volunteer desires to contribute to the mission of GOTR NOVA through volunteer activities (the “Activities”). The Volunteer hereby freely, voluntarily, and without duress executes this Release under the terms below: 1. Release and Waiver: Volunteer hereby releases and forever discharges and holds harmless GOTR NOVA, its successors and assigns (and all of their directors, officers, employees and agents) from any and all liability, claims, and demands of whatever kind or nature which arise or may hereafter arise from Volunteer’s Activities with GOTR NOVA. Volunteer understands that this Release discharges GOTR NOVA from any liability or claim that the Volunteer may have against GOTR NOVA with respect to any bodily injury, personal injury, illness, death, or property damage that may result from Volunteer’s Activities with GOTR NOVA, whether caused by the negligence of GOTR NOVA or its officers, directors, employees, or agents or otherwise. Volunteer also understands that GOTR NOVA does not assume any responsibility for or obligation to provide financial or other assistance, including but not limited to medical, health, or disability insurance in the event of injury or illness. The Volunteer hereby expressly assumes the risk of injury or harm arising from the Activities. 2. Medical Treatment: Volunteer hereby releases and forever discharges GOTR NOVA from any claim whatsoever which arise or may hereafter arise on account of any first aid, treatment, or service rendered in connection with the Volunteer’s Activities with GOTR NOVA, or with the decision by any representative or agent of GOTR NOVA to exercise the power to consent to medical or dental treatment. 3. Insurance: The Volunteer understands that, except as otherwise agreed to by GOTR NOVA in writing, GOTR NOVA does not carry or maintain health, medical, or disability insurance coverage for any Volunteer. Each Volunteer is expected and encouraged to obtain his or her own medical or health insurance coverage. 4. Photographic Release: Volunteer hereby grants and conveys unto GOTR NOVA all right, title and interest in any and all photographic images and video or audio recordings made by GOTR NOVA during the Volunteer’s activities with GOTR NOVA. 5. Other: Volunteer expressly agrees that this Release is intended to be as broad and inclusive as permitted by the laws of the Commonwealth of Virginia, and that this Release shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia. Volunteer agrees that in the event that any clause or provision of this Release shall be held to be invalid by any court of competent jurisdiction, the invalidity of such clause or provision shall not otherwise affect the remaining provisions of this Release which shall continue to be enforceable.

4. Confidentiality Agreement: Volunteer Agreement All volunteers must execute a Volunteer Confidentiality Agreement. This is a Volunteer Confidentiality Agreement (the “Agreement”), executed on the date of registration by the “Volunteer”. The Volunteer desires to contribute to the mission of GOTR NOVA through volunteer activities (the “Activities”). In consideration for the agreement of GOTR NOVA to allow the Volunteer to perform the Activities, and as a condition to Volunteer’s continued volunteering with GOTR NOVA, Volunteer hereby agree as follows: Except as permitted by this Agreement or to the extent the use or disclosure of any Confidential Information is required to carry out my assigned duties with GOTR NOVA, I agree not to copy, reproduce, use, or disclose, or use to advance the financial or other private interests of myself or others any GOTR NOVA Confidential Information (as defined below), at any time during my employment or engagement with GOTR NOVA or thereafter. “Confidential Information” includes, but is not limited to: (i) any confidential, proprietary, or other information regarding GOTR NOVA that is obtained or created by me during my employment or engagement with GOTR NOVA that is not publicly available; (ii) information marked or designated by GOTR NOVA as confidential; (iii) confidential information, whether or not in written form and whether or not designated as confidential, which is known to me as being treated as confidential by GOTR NOVA; (iv) information provided by third parties, including but not limited to information provided by participants and/or participants’ guardians; (v) Girls on the Run® or Heart & Sole® program content or any other materials that GOTR NOVA provides (the “Materials”); and (vi) financial documents, process and procedure information, trade secrets concerning the business and affairs of GOTR NOVA, programming materials, data, techniques, correspondence, market studies, marketing and business plans, computer software and programs, technology systems and any other information written or oral, or in whatever media contained, however documented or disseminated. I agree to exercise the highest degree of care in safeguarding Confidential Information against loss, theft, or other inadvertent disclosure, and agree generally to take all steps necessary to ensure the maintenance of confidentiality. I further agree I will not copy, remove from the premises of GOTR NOVA, or retain without prior written consent any written, electronic or other tangible material containing Confidential Information, except in the ordinary course of business and as may be reasonably required in the course of my employment or engagement with GOTR NOVA.

5. Protected Rights: For the avoidance of doubt, the terms in Section 4 above: (i) do not limit my right to file a charge with, to participate in a proceeding by, or to communicate with a government agency or a court; (ii) do not prohibit me from disclosing information that I am permitted to disclose under an applicable state workplace transparency statute, if any; and (iii) do not apply to a disclosure required by applicable law, a valid subpoena, or a court order or to truthful testimony under oath.Notwithstanding the nondisclosure and confidentiality obligations set forth in this Agreement, I understand I will not be held criminally or civilly liable under any Federal or State trade secrets laws for the disclosure of a trade secret that (1) is made (i) in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney and (ii) solely for the purpose of reporting or investigating a suspected violation of law or (2) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. I also understand that if I file a lawsuit for retaliation by GOTR NOVA for reporting a suspected violation of law, I may disclose GOTR NOVA’s trade secrets to my attorney and use the trade secret information in the court proceeding if I: (1) file any document containing the trade secret under seal; and (2) do not disclose the trade secret, except pursuant to court order

6. Return of GOTR NOVA Property: At the end of every program season and upon the termination of my engagement, for whatever reason, I will promptly deliver to GOTR NOVA all tangible property, documents, information, data, and other property, including Confidential Information, in my possession, custody, or control that belong to GOTR NOVA, and/or that contain, in whole or in part, any information pertaining to GOTR NOVA programming and Materials, regardless of how stored or maintained and including all originals and copies.

7. GOTR Logo & Trademarks: I agree and acknowledge that the trademarks and brands of GOTR are valuable assets. I will abide by the trademark and logo usage guidelines to protect the trademarks and brands and will obtain approval from GOTR if I am unsure whether a proposed use violates the guidelines.

8. Reasonableness: I agree that the restrictions in this Agreement are fair, reasonable, and necessary to protect GOTR NOVA’s confidential information, trade secrets, goodwill, and legitimate business interests, and will not prevent me from earning a living. I also agree that this Agreement is supported by good and valid consideration. As such, I agree not to contest the general validity of this Agreement in any forum. If I breach this Agreement, then GOTR NOVA will be entitled to injunctive relief and the damages caused by my breach.

9. Law And Venue: This Agreement shall be governed by Virginia law, without regard to any conflict-of-law rules. Any litigation related to this Agreement shall be filed and occur exclusively in the state or federal courts in Virginia, and in no other venue. I irrevocably consent to the jurisdiction of and venue in such courts for such disputes. I agree that this Section is a material and reasonable part of this Agreement, that GOTR NOVA’s headquarters are in Virginia, and that I will not contest the enforceability of the provisions in this Section in any forum.

10. Miscellaneous: This Agreement constitutes the entire agreement related to the subject matter contained herein, and it supersedes all previous agreements related to such subject matter. Each provision herein is severable from each other provision. If a court determines that any provision of this Agreement is invalid, then I request that the court modify it in order to render it not invalid and enforce the provision as modified. No amendment or waiver of any of the provisions of this Agreement shall be binding unless reduced to writing. GOTR shall have the right to transfer or assign this Agreement to any affiliate or successor to all or part of its business, and I irrevocably consent to any such transfer or assignment. In the event of such transfer or assignment, the “GOTR” shall mean the entity to which this Agreement is so transferred or assigned.

11. Survival: The obligations set forth in this agreement shall survive the termination of my employment or engagement with GOTR NOVA, regardless of the reasons or method of termination.

12. Acknowledgement of Volunteer Status and GOTR NOVA’s Right to Terminate: If I am given and accept a volunteer position with GOTR NOVA, I understand that GOTR NOVA may terminate that volunteer position with or without cause, and with or without advance notice, at any time.I understand that I am not being retained as a volunteer for any specified period of time and that this application is not intended to be a contract of any kind. I acknowledge that I am not seeking a position of employment with GOTR NOVA and am seeking an uncompensated volunteer position. The Board of Directors is exempt from this section and the organization’s by-laws take precedence.
