Confidentiality and Covenant Not to Compete

I am an unpaid volunteer or staff member of Girls on the Run ("GOTR”) and I agree to the following:

1. Confidentiality. I am about to begin or continue my engagement with GOTR as a volunteer or staff member. In consideration of my engagement, I recognize that I will receive access to proprietary or Confidential Information (as defined below). I agree that this information is a valuable and unique asset of GOTR, which if divulged to others, could cause irreparable harm.

(a) As used in this Agreement, the term “Confidential Information” shall mean and include (i) any information not in the public domain relating to GOTR; (ii) information marked or designated by GOTR as confidential; (iii) information, whether or not in written form and whether or not designated as confidential, which is known to unpaid volunteers or staff as being treated as confidential by GOTR; (iv) information provided by third parties, specifically information provided by participants, participants’ guardians; (v) financial documents, process and procedure information, trade secrets concerning the business and affairs of GOTR, programming materials, data, techniques, correspondence, market studies, marketing and business plans, computer software and programs, technology systems and any other information, written or oral, or in whatever media contained, however documented or disseminated.

(b) I agree to exercise the highest degree of care in safeguarding Confidential Information against loss, theft, or other inadvertent disclosure, and agree generally to take all steps necessary to ensure the maintenance of confidentiality.

2. Disclosure and Non-Compete. I understand GOTR’s need to control my disclosure and use of Confidential Information that I may receive during my engagement and to limit, to some extent, certain competitive activities that I may engage in after my time as a volunteer or staff member for GOTR. I understand that these restrictions are for the purpose of enabling GOTR to protect its valuable proprietary and Confidential Information that GOTR has invested considerable resources developing and has a legitimate interest in protecting to preserve the integrity and future of GOTR.

(a) I understand that all Confidential Information given to or shared with me are GOTR’s intellectual property and may not be copied, transmitted, reproduced, summarized, modified, or distributed in anyway without the express written consent of GOTR. I will not, during the term of my engagement or thereafter, use for myself or for others, or divulge or deliver to another, any GOTR Confidential Information, including but not limited to, the Girls on the Run® or Heart & Sole® program content or any other materials that GOTR provides (“Materials”), except as required in the performance of my duties as a GOTR volunteer or staff member.

(b) I understand that during the term of my engagement with GOTR and for a period of two (2) years after my relationship with GOTR concludes, (i) I shall not create or contribute to a program that is similar to any of GOTR’s programs or any other positive youth development program that focuses on girls and (ii) I shall not share Materials with any other program, directly or indirectly.

3. Returning Materials. At the end of every program season and/or upon the termination of my engagement, for whatever reason, I will promptly deliver to GOTR all documents, property and Materials and Confidential Information of any type, including any copies thereof, in my possession, custody, or control that belong to GOTR, and/or that contain, in whole or in part, any information pertaining to GOTR programming and Materials.

4. Logo & Trademarks. I agree and acknowledge that the trademarks and brands of GOTR are valuable assets. I will abide by the trademark and logo usage guidelines to protect the trademarks and brands and will obtain approval from GOTR if I am unsure whether a proposed use violates the guidelines. The obligations set forth in this agreement shall survive the termination of my engagement, regardless of the reasons or method of termination. This agreement will be governed by the laws of the State of North Carolina without giving effect to any choice of law principles, and the exclusive venue for any dispute arising out of, related to or in connection with this agreement shall be in Charlotte, North Carolina.

GIRLS ON THE RUN 5K EVENT WAIVER

I hereby agree to participate in the Girls on the Run® 5K Event (or a virtual 5K if the program moves online) (5K event) as a volunteer/runner/spectator. Physical reactions to exercise may include heat-related illness, abnormal heartbeats, and blood pressure and, in rare instances, events such as heart attacks. While Girls on the Run takes all reasonable precautions, we can make no guarantees regarding these and other risks such as contracting known and unknown viruses. Recognizing the risks of the 5K event, and in consideration for allowing participation in the 5K event, I hereby release, discharge and agree to hold harmless, and to indemnify each of the Girls on the Run council conducting the Girls on the Run program and Girls on the Run International, their owners, directors, affiliates, officers, contributors, sponsors, employees, contractors, agents and assigns against and from any and all causes of action, claims, demands, damages, costs, loss of services, expenses, compensation, all consequential damages and attorneys’ fees (regardless whether pursuant to the laws of any county, state or country) claimed by, through or on behalf of me related directly or indirectly to the 5K event, and specifically including any and all claims for personal injuries sustained while participating in the 5k event without regard to negligence or negligent conditions.

In addition, I hereby authorize Girls on the Run, if after a reasonable attempt has been made to reach a parent, guardian or emergency contact to obtain consent, or if sound medical practice decrees that there is not time to make such an attempt, to consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment, and hospital care, to be rendered to me under the general or special supervision and on the advice of any physician or surgeon who may treat me, and consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment and hospital care, to be rendered to me by any health care professional who may treat me. I agree to pay for any such treatment and to reimburse Girls on the Run for all costs and expenses it may incur related to such treatment.

I hereby grant Girls on the Run®, its National Title Sponsors, its National Sponsors, and all assigns, licensees, successors in interest, legal representatives, employees, consultants, and those acting with permission or authority of the aforementioned parties, the absolute, irrevocable and unrestricted right to use photographs, videos likenesses and audio recordings (including without limitation all originals, negatives, prints and transparencies or any duplicates or reproductions of the foregoing) that have been or will be taken of me (collectively, “Images”), in which I may be included with others, to copyright the same, in the name of Girls on the Run or otherwise; to use, re-use, publish and republish the same in whole or in part, individually or in conjunction with other photographs and videos, and in conjunction with any printed matter, in any and all media now and hereafter known, and for any purpose whatsoever; and to use my name in connection herewith.

I hereby release and agree to hold harmless Girls on the Run and all aforementioned entities, from any damages or liability relating to or arising from any use of or modification, alteration, distortion or other change to any of the Images and/or information gathered, unless it can be proven that such reproduction were maliciously caused, produced and published for the sole purpose of subjecting me to conspicuous ridicule, scandal, reproach, scorn and indignity. I hereby waive any claims I may have based on any usage of the Images, information gathered, or works derived thereof, including but not limited to claims for either invasion of privacy or libel.

From time to time, Girls on the Run sponsors may provide products or offer services to participants. I understand that I may receive products or service offerings from sponsors of Girls on the Run, and consent to their provision and my receipt thereof.

I expressly agree that this consent is intended to be as broad and inclusive a release of liability as permitted by applicable law and that if any provision thereof is held invalid, it is agreed that the remaining provisions shall, notwithstanding, continue in full legal force and effect. I hereby warrant and represent that I am 18 years old or older; I have carefully read this consent and agree to its terms and conditions, that before signing this agreement I had the chance to ask questions; and I am aware that by signing this consent, I assume all risks and waive and release certain substantial rights that I may have or possess against Girls on the Run council conducting the Girls on the Run program and Girls on the Run International. To the extent permitted by applicable law, I hereby irrevocably and unconditionally waive trial by jury in any legal action or proceeding related to this agreement.

Coach Waiver

I, as a volunteer of Girls on the Run, agree to the following:

1) I will not deliver the Girls on the Run program unless I am working as an employee or volunteer of a Girls on the Run Council.

2) I will not create or help develop a program that has similar goals and structure to that of Girls on the Run within a two-year period of my involvement with Girls on the Run.

3) I understand that all printed materials given to me are under copyright law and may not be reproduced in any way unless written permission is received.

4) I understand that curriculum books given to me for the purpose of coaching Girls on the Run do not belong to me and must be returned at the end of the season.

5) I will abide by the logo usage guidelines and obtain approval from Girls on the Run International staff if I am unsure of its use.

Program Consent, Release, and 5K Waiver: I am a volunteer with Girls on the Run Rockies. I understand that during the program, I will be involved in indoor and outdoor physical activities. Physical reactions to exercise may include heat-related illness, abnormal heartbeats, and blood pressure and, in rare instances, events such as heart attacks. While Girls on the Run Rockies takes all reasonable safety precautions, we can make no guarantees regarding these and other risks such as contracting known and unknown viruses. Recognizing the risks of the program, I hereby release, discharge and agree to hold harmless, and to indemnify each of Girls on the Run and Girls on the Run International, their owners, directors, officers, contributors, sponsors, employees, contractors, agents and assigns against and from any causes of action, claims, demands, damages, costs, loss of services, expenses, compensation, all consequential damages and attorneys' fees (regardless whether pursuant to the laws of any county, state or country) claimed by, through or on behalf of me related directly or indirectly to the program (including without limitation the virtual 5K event and contracting known and unknown viruses), and specifically including any and all claims for personal injuries sustained while participating in program activities without regard to negligence or negligent conditions. In addition, I hereby authorize Girls on the Run Rockies, if after a reasonable attempt has been made to reach an emergency contact to obtain consent, or if sound medical practice decrees that there is not time to make such an attempt, to consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment, and hospital care, to be rendered to me under the general or special supervision and on the advice of any physician or surgeon who may treat me, and consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment and hospital care, to be rendered to the Participant by any health care professional who may treat me. I agree to pay for any such treatment and to reimburse Girls on the Run for all costs and expenses it may incur related to such treatment.

Photo Release: I hereby grant to Girls on the Run Rockies the absolute and irrevocable right and permission, in respect of the photographs/videos that have been or will be taken of me or that I submit to Girls on the Run Rockies or in which I may have been included with others, to copyright the same, in the name of Girls on the Run or otherwise; to use, re-use, publish, and republish the same in whole or in part, individually or in conjunction with other photographs and videos, and in conjunction with any printed matter, in any and all media now or hereafter known, and for any purpose whatsoever; and to use my name in connection therewith. I hereby release and discharge Girls on the Run Rockies from any and all claims and demands arising out of or in connection with the use of the photographs and videos, including without limitation any and all claims for libel or invasion of privacy.

Authorization: I expressly agree that this consent is intended to be as broad and inclusive a release of liability as permitted by applicable law and that if any portion thereof is held invalid, it is agreed that the balance shall, not withstanding, continue in full legal force and effect. I hereby represent and warrant that I am 18 years of age or older or, if applicable, that I am the parent or legal guardian of the child under the age of 18 years old who I am registering to volunteer/participate/spectate for the 5k event and that I have the full power and authority to agree to these terms on behalf of such child, and to bind him/her to these terms. I have carefully read this consent and agree to its terms and conditions, that before signing this agreement I had the chance to ask questions; and I am aware that by signing this consent, I assume all risks and waive and release certain substantial rights that I may have or possess against Girls on the Run. To the extent permitted by applicable law, I hereby irrevocably and unconditionally waive trial by jury in any legal action or proceeding related to this agreement. I have fully read the above permissions, policies, and releases. I understand them and I expressly agree to them. I hereby certify that there are no contraindications to my participation in the Girls on the Run program. This permission and release are binding on me and my executor, administrators, and heirs.

Virtual Program: In the event that the Girls on the Run program is conducted virtually, I agree that I have read, understand and will abide by the Online Code of Conduct, GOTR Privacy Policy, and all Virtual Coach policies, guidelines, and procedures including the supplemental procedures specifically for online engagement.
