VOLUNTEER CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

I, _______________________, agree to be a Girls on the Run® volunteer (“Volunteer”). Girls on the Run (“GOTR”) is a 501c3 organization with a mission to “inspire girls to be joyful, healthy and confident using a fun, experience-based curriculum that creatively integrates running”. During the course of volunteer work with GOTR, Volunteer may have access to or gain knowledge of confidential information relating to GOTR, its participants, and the individuals employed by or volunteering with GOTR. Volunteer agrees that the following obligations are reasonable and necessary to preserve the confidential and proprietary nature of Confidential Information, as defined herein.

Confidential Information.

As used in this Agreement, the term “Confidential Information” shall mean and include (i) any information not in the public domain relating to either GOTR or Volunteer; (ii) information marked or designated as confidential; (iii) information, whether or not in written form and whether or not designated as confidential, which is known to Volunteer as being treated as confidential; (iv) information provided to Volunteer by third parties, specifically information provided by volunteers, donors, participants, and participants’ guardians; (v) financial documents, process and procedure information, trade secrets concerning the business and affairs of GOTR, data, techniques, correspondence, market studies, marketing and business plans, computer software and programs, technology systems and any other information, written or oral, or in whatever media contained, however documented or disseminated.

Ownership.

Volunteer hereby acknowledges the Confidential Information is and shall continue to be the exclusive property of GOTR, whether or not disclosed or entrusted to the Volunteer pursuant to this Agreement.

Covenants of Non-Disclosure and Use.

(i) Volunteer agrees not to disclose Confidential Information, directly or indirectly, under any circumstances or by any means, to any third person, with the exception of emergency personnel, consulting attorney(s), accountant(s) and business managers, without express written consent of GOTR. (ii) Volunteer agrees to use the Confidential Information for the sole purpose of evaluating and/or assisting GOTR and GOTR’s participants. (iii) Volunteer agrees that it will not copy, transmit, reproduce, summarize, quote or make any commercial or other use whatsoever of Confidential Information without the express written consent of GOTR.

Safeguard of Confidential Information.

Volunteer agrees to exercise the highest degree of care in safeguarding the Confidential Information against loss, theft or other inadvertent disclosure, and agrees generally to take all steps necessary to ensure the maintenance of confidentiality. Volunteer agrees to be responsible for enforcing the terms of this Agreement as to its employees, agents, contractors, consultants, advisors, or other representatives and the confidentiality of the Confidential Information and to take such action, legal or otherwise, to the extent necessary to cause it to comply with the terms and conditions of this Agreement and thereby prevent any disclosure of the Confidential Information by any such persons (including all actions that GOTR would take to protect its own trade secrets and Confidential Information).

Irreparable Harm.

Volunteer hereto acknowledges that any disclosure of the Confidential Information or other violation of this Agreement will cause irreparable harm to GOTR.

Photographs, Recordings, & Materials.

At the end of every program season and/or upon the termination of my engagement, for whatever reason, I will promptly deliver to GOTR all documents, property and Materials and Confidential Information of any type, including any copies thereof, in my possession, custody, or control that belong to GOTR, and/or that contain, in whole or in part, any information pertaining to GOTR programming and Materials. (a) I understand that all photographs and videos taken of GOTR participants become the sole property of GOTR and cannot be used, posted, or disseminated, directly or indirectly, without prior written consent from GOTR-DC.

Return of GOTR Materials.

Volunteer agrees that upon termination of the Volunteer position for any reason, Volunteer will promptly return to GOTR all Confidential Information and copies thereof, and all other GOTR property or information relating to the business of GOTR that Volunteer has in her/his possession, whether in tangible, electronic, or intangible form.

The obligations set forth in this Agreement regarding Confidential Information will continue beyond the term of this Agreement for as long as Volunteer has knowledge of or otherwise possesses Confidential Information.
